HAVE SUFFICIENT FUNDING TO PURCHASE MACHINERY, WHICH
WOULD ENABLE THEM TO COTTONIZE FLAX. NEVERTHELESS,
THEY WOULD BE ABLE TO SECURE A LOAN FROM A BELARUSIAN
BANK SUPPORTED BY THE GUARANTEE OF THE BELARUSIAN
GOVERNMENT.
IT MUST BE NOTED THAT THE BUSINESS CLIMATE IN BELARUS
IS FAR FROM IDEAL. FOREIGN BUSINESSES OFTEN COMPLAIN
OF ARBITRARY AND CAPRICIOUS ACTIONS BY REGULATORY
AUTHORITIES, PARTICULARLY THE TAX AND CUSTOMS

I. Investment tender object

II. Participants at the investment tender
2.1. All natural and legal persons from Moldova or from abroad, excepting the state Moldovan enterprises, are entitled to participate in the investment tender.
2.2. The participants in the tender have the right:
+ to know everything about the enterprise from the day when the tender was announced and till the last day of the bid document submission;
+ to request documents regarding the enterprise;
+ to refuse to participate at the tender.
III. Tender process
3.1. The investment tender is carried out in two stages.
3.2. At the first stage each participant has submit the following documents:
1. the application for participation in the tender according to the Privatisation Department model;
2. the presentation of the participant experience and strategic goals;
3. the copy of the state registering certificate (for foreign participants - the copy of the extract from the account book, given with at least three months before the date of document submission);
4. the authenticated copy of the company charter;
5. documents that confirm participant's solvency and creditworthiness:
+ balance sheets and financial reports for the last 3 years, including the last quarter;
+ guarantees and recommendation letters;
+ documents confirming the bidder's capacity to execute the payment for shares and proposed investments (commercial bank guarantee, guarantees of companies and organisations with renowned reputation);
6. each person interested in participation at the tender should transfer a participation guarantee in amount of MDL 50,000 for each object (or an equivalent in USD at the NBM official exchange rate as of the date of payment) to the following account: Beneficiary - Ministry of Finance, Chisinau Treasury, Department of Privatisation c/f 246533, c/d 226470300001 - 45305255801 BCA "Banca Sociala" 280101703.
7. the proxy for the authorised person who will participate in the tender;

3.3. The documents submitted by foreign persons should be translated in the state language of the Republic of Moldova and authenticated by the Chamber of Commerce and Industry, Embassy (Consulate) of the Republic of Moldova in the resident country or the Embassy (Consulate) of resident country in the Republic of Moldova.
3.4. The application for participation in the tender will include the following:
1. Full name of the participant;
2. Year of foundation;
3. Legal address;
4. Number, date and place of state registration (registration in the commercial register);
5. Director name and surname, tel., fax;
6. The object to be purchased: state shares (patrimony);
7. Offered price;
8. Conditions and terms of payment for state shares (patrimony):
+ single payment (the sum and terms of payment);
+ payment in instalments (the sum to be paid until sale-purchasing contract signing and the sum to be paid every quarter, terms).
9. Period of time and investment sum for equipment and product development, know-how and other goals;
10. Terms and sources for enterprise debt payment;
11. Maintenance of the enterprise profile regarding the production and services (period of time and to what extent?);
12. Maintenance of working places (creation of new working places);
13. Activities on environment protection (quantitative indices, terms);
14. Other obligations.
3.5. The investment programme and other additional information requested by the Tender Commission should be presented at the second stage.
3.6. Main criteria for winner selection:
a) the price offered for the object and payment terms;
b) the investment commitments and terms for their fulfilment;
c) commitment towards company development;
d) commitment (acceptance/refusal) for debt repayment;
e) Bidder's background and expertise in relevant industry.
3.7. The bid documents shall be submitted in closed envelopes to the Secretary of the Tender Commission at the Department of Privatisation and State Property Administration by Tuesday, 25th January, 2000, 17:00; address: 26 Puskin Str., Chisinau, Republic of Moldova.
3.8. Within 5 days after the submission deadline, the Tender Commission will announce in written the participants accepted to the tender second stage about bid submission order and conditions.
3.9. The participation guarantee shall be paid back within 10 days from the date of tender closing. The participation guarantee of the winner shall be deducted from the amount to be paid for the purchased shares.
3.10. The persons interested in participation at the tender may take knowledge of the enterprise documents as well as of the sale-purchasing contract (rooms 201, 211, 217, 219).
