The adjacent land plot of the company put up for sale may be privatized for money or leased based on a contract which is in compliance with the current legislation of the Republic of Moldova.
All individuals and private legal entities from Moldova, except for the state companies of the Republic of Moldova, including foreign citizens and legal entities, may participate in negotiations.
Those willing to participate in direct negotiations for the purchase of assets should submit to the secretary of the tender commission the following documents:
1) A standard application for participation in the competition,
specifying plans for further investments, agreement or disagreement to pay off company debts, opinion of buyer on other commitments;
2) Proof of experience and strategic objectives of investor;
3) A copy of certificate of state registration (for foreign contenders
- a copy of the excerpt from the commercial register issued not later than three months prior to the submission of documents);
4) A copy of company charter properly certified;
5) Documents of proof of ability to pay and obtain loans (balance
sheet, income statement, letters of guarantee and letters of recommendation, etc.);
6) A bank document certifying the transfer of the contender's guarantee payment in the amount of MDL 50,000 (or its dollar equivalent at the exchange rate set by the National Bank of Moldova on the day of payment) to the following account: Payment Recepient: Ministry of Finance, Chisinau Treasury Office, Department of Privatization, fiscal code 246533, account #226470300001-45305255801, joint stock commercial bank "Banca Sociala", MFO-280101703;
7) A proxy to participate in the competition and to close the deal;
8) Proof of authorized bodies of the contender to purchase the assets, such as the minutes of the meeting or other documents of proof;
9) Certificate of the State Registration Chamber confirming the
authority of the company director;
10) Investment schedule.
The guarantee payment of the contender shall be returned within 10 days since the date the negotiations ended. The guarantee payment of the winner shall be subtracted from the value of the assets.
In case the buyer refuses to sign the sale contract or fails to pay for the assets purchased, the guarantee payment shall not be refunded.
The documents for participation in the negotiations shall be submitted to the Tender Commission of the Department of Privatization and State Property Administration in a sealed envelope by December 20, 1999 inclusive at the following address: Chisinau, str. Puskin 26, from 8 am to 5 pm. The offer should be prepared in the state language or, alternatively, in the language of the original plus the state language (Romanian).
If two or more offers for participation in the negotiations for the purchase of the same assets are received, the offers submitted shall be examined and selected according to the rules of the investment tender.
