CONFERENCE AND WORKSHOPS.

IN ORDER TO ACHIEVE THESE OBJECTIVES THE CONSULTANTS WILL BE
REQUIRED TO:

A)PRESENT TO THE KAZAKH AUTHORITIES THE TELECOMMUNICATION
POLICY OPTIONS OF COUNTRIES IN EUROPE AND ELSEWHERE AND
EXPLAIN THE REASONING UNDERLYING THEM;

B)ANALYSE THE POLITICAL AND ECONOMIC SITUATION IN
KAZAKHSTAN AND PROVIDE POSSIBLE SCENARIA FOR THE FUTURE
KAZAKH TELECOMMUNICATIONS POLICY; ASSIST THE AUTHORITIES
S
IN ASSESSING THESE SCENARIA AND IN ADOPTING AN ADEQUATE
TELECOMMUNICATIONS SECTOR POLICY;

C)ANALYSE THE KAZAKH LEGISLATION AND IDENTIFY THE
AMENDMENTS NEEDED IN ORDER TO ESTABLISH A MODERN
TELECOMMUNICATIONS REGULATORY FRAMEWORK;

D)DRAFT LEGISLATION NEEDED FOR GRANTING LICENSES AS WELL AS
THE TEXT OF THE LICENSES;

E)DRAFT THE LEGISLATION NEEDED FOR ESTABLISHING AN
INDEPENDENT REGULATORY AUTHORITY AND VESTING WITH ALL
NECESSARY POWERS FOR PERFORMING ITS DUTIES EFFICIENTLY
AND EFFECTIVELY;

F)PROVIDE GUIDANCE ON THE ADOPTION OF A SOUND
INTERCONNECTION POLICY, ASSIST THE AUTHORITIES IN
DEVELOPING THE METHODOLOGY NECESSARY FOR ENFORCING THIS
POLICY AND DRAFT THE CLAUSES OR LEGISLATION NEEDED FOR
IMPLEMENTING THIS POLICY;

G)PREPARE AN ORGANISATIONAL CHART FOR THE AUTHORITY AS WELL
AS A BUDGET ESTIMATE AND WAYS OF POSSIBLE FINANCING;

H)PROVIDE TRAINING ON THE LATEST COST-ACCOUNTING METHODS AS
WELL AS ON THE WAYS TO ENSURE COST-ORIENTED TARIFFS AND
INTERCONNECT CHARGES AND AVOID UNFAIR CROSS-
ROSS-
SUBSIDISATION;

G)ORGANISE WORKSHOPS AS WELL AS A TWO DAY CONFERENCE ON
TELECOMMUNICATIONS LAW AND POLICY

IT IS CRITICAL THAT THE PROJECT SHOULD BE CARRIED OUT BY A
TEAM OF CONSULTANTS COMPRISING A MIX OF LEGAL, TECHNICAL AND
ECONOMIC EXPERTISE IN THE TELECOMMUNICATIONS LEGAL AND
REGULATORY FIELD.

THE ASSIGNMENT IS EXPECTED TO START IN JULY 1999 AND LAST
ABOUT 18 MONTHS. THE PROJECT WILL BE CARRIED OUT IN TWO
PHASES; THE LAUNCH OF PHASE TWO WILL BE SUBJECT TO THE
SATISFACTORY COMPLETION OF PHASE ONE.

IT IS ANTICIPATED THAT THE CONTRACT WILL BE FINANCED THROUGH
THE EBRD'S DONOR FUNDED TECHNICAL COOPERATION FUNDS PROGRAMME.
CONSULTANT SELECTION WILL BE SUBJECT TO AVAILABILITY OF
FUNDING FROM AN APPROPRIATE DONOR. THERE ARE NO NATIONALITY
OR REGIONAL RESTRICTIONS FOR SHORTLISTING AND SELECTION.

IN ORDER TO DETERMINE THE CAPABILITY AND EXPERIENCE OF
CONSULTING FIRMS SEEKING TO BE SHORTLISTED, THE INFORMATION

EBRD/IFC INVEST IN OIL DEVELOPMENT IN THE CASPIAN SEA

THE EUROPEAN BANK FOR RECONSTRUCTION AND DEVELOPMENT (EBRD)
AND THE INTERNATIONAL FINANCE CORPORATION (IFC) WILL EACH
INVEST UP TO US$ 200 MILLION (EUR 180 MILLION) IN THE EARLY
OIL PROJECT TO DEVELOP THE OFFSHORE CHIRAG FIELD IN THE
CASPIAN SEA.

THE EARLY OIL PROJECT, UNDERTAKEN BY AFFILIATES OF 11
INTERNATIONAL OIL COMPANIES AND THE STATE OIL COMPANY OF THE
AZERBAIJAN REPUBLIC (SOCAR), INCLUDES THE REFURBISHMENT OF AN
EXISTING OFFSHORE PLATFORM, DRILLING WELLS AND BUILDING SUBSEA
PIPELINES AS WELL AS INSTALLING TERMINALS IN AZERBAIJAN AND
GEORGIA AND REPAIRING AND COMPLETING TWO OIL PIPELINES,
THROUGH AZERBAIJAN TO THE RUSSIAN BORDER AND TO SUPSA,
GEORGIA. PRODUCTION COMMENCED IN NOVEMBER 1997 AND IS
CURRENTLY OVER 80,000 BARRELS OF OIL PER DAY.

THIS PROJECT IS THE FIRST STAGE OF THE DEVELOPMENT OF THE
CHIRAG, AZERI AND DEEPWATER GUNASHLI FIELD COMPLEX, WHICH IS
EXPECTED TO COST A TOTAL OF US$ 10-12 BILLION (EUR 9-11
BILLION) AND RESULT IN THE ULTIMATE RECOVERY OF OVER 4 BILLION
BARRELS OF CRUDE OIL. PRODUCTION IS FORECAST TO REACH MORE
THAN 800,000 BARRELS PER DAY IN THE NEXT 10 YEARS.

DIMITRIS TSITSIRAGOS, PRINCIPAL INVESTMENT OFFICER WITH IFC'S
OIL, GAS & MINING DEPARTMENT, SAID THAT THE PROJECT IS
DESIGNED TO ENCOURAGE PRIVATE INVESTMENT, AND INCREASE OIL
PRODUCTION, WHICH HAS DECREASED DRAMATICALLY IN THE REGION.
THE FINANCING WILL CONTRIBUTE TO ECONOMIC DEVELOPMENT IN
AZERBAIJAN, GEORGIA AND RUSSIA WHILE ADDING TO LOCAL ENERGY
SUPPLY.

THE EBRD AND IFC WILL EACH PROVIDE FINANCING OF UP TO US$ 200
MILLION (EUR 180 MILLION), OF WHICH UP TO US$ 100 MILLION (EUR
90 MILLION) WILL BE SYNDICATED. THE FACILITY WILL BE PROVIDED
BY WAY OF FIVE SEPARATE LOANS BY EACH OF THE EBRD AND IFC TO
AFFILIATES OF BP AMOCO PLC, EXXON CORPORATION, LUKOIL JOINT
STOCK COMPANY, TURKIYE PETROLLERI A.O, AND UNION OIL COMPANY
OF CALIFORNIA.

CITIBANK, DRESDNER BANK AND SOCIETE GENERALE ACTED AS CO-
ARRANGERS AND EACH CONTRIBUTED US$ 25 MILLION (EUR 22.5
MILLION) TO THE SYNDICATED LOANS.

for selection of a financial consultant for privatization of
"Sumgaitalvanmetal", "Gil-torpag" production units and Alum-Alunite Mining

1. The tender is conducted according to the Law on Tenders of the
Azerbaijan Republic. Main purpose of the tender is selection of a financial
consultant to the State Property Committee for privatization of
"Sumgaitalvanmetal", "Gil-torpaq" in Ganja, and Alum-Alunite Mining

Yenikend Renewable Energy Project

For the Supply and Installation of Plant and Equipment for Seismic
Monitoring and Analysis System

1. The Invitation for Tenders follows the information about this
project which was published in "Development Business" (UNO) Number 464,
issue 59, page 18, date March 1997.

2. Azerenerji Joint Stock Company has received a loan from the European
Bank for Development and Reconstruction (EBRD) towards the financing of the cost for construction of Seismic Monitoring and Analysis System, which is component part of the Yenikend Renewable Energy Project.

Azerenerji Joint Stock Company hereinafter referred to as "The
Employer" how invites Suppliers/Contractors to send sealed bids for the
Supply and Installation of Plant and Equipment for:

* 1 Control, Monitoring and analysis center;
* 5 Local Measuring and Transmitting Stations;
* 2 Complete radio repeater Stations;
* 1 set of Special Tools and instruments;
* 1 set of Spare Boards;
* Training Services

The above mentioned facilities associated services and civil works will be
rendered on a "Single responsibility Contract" basis.

The proposals shall include all needed components, materials and equipment
for the proper construction of the System, works for installation of the
equipment, assembling and installation methods and systems, related to this
works, including performance of the necessary tests etc., as prescribed in
the Tender Documents.

3. The Tenders for contract to be financed with the proceeds of the
loan from EBRD shall be construed in accordance with rules and policies of
the EBRD.

4. As part of the tenders, participants should demonstrate compliance
with the following minimum criteria:

(a) To have an average annual turnover (defined as billing for works in
progress or completed) over the last five (5) years of at least US$
1,500,000 (one and half million dollars of the United States of America).
(b) To have been in business as Manufacturers or Contractors on "high
tech" construction during at least (10) years. In case of Joint Venture,
these requirements must be fulfilled at least by the leading member.
(c) To have circulating funds, real assets, credit limits and other
financial means of not less that the equivalent of US$ 500,000 (five hundred
thousand dollars of the United States of America). A duty certified copy of
the latest balance of participant shall be attached to the bids.
(d) To have completed with satisfactory performance in the last ten (10)
years, alone or as lending partner (sponsor), the construction of at least
one similar work with a contract of not less that equivalent of US$ 500,000
(five hundred thousand dollars of the United States of America).
(e) To have no overdue debts of any kind towards the Financial
Authorities of the Republic of Azerbaijan and the Employer. In case of
Joint Venture, these requirements must be fulfilled by all members.
(f) To have suitable and qualified personnel with at least ten (10)
years of proven experience in each position.
(g) To have a ISO 9001 Standard or equivalent Quality Assurance system.

In addition, Joint Venture must satisfy collectively (a) to (g) above. The
leading partner shall lead not less that sixty per cent (60%) and the other
partners not less than twenty per cent (20%).

5. Pre-tender meeting and site visit shall be held from 22 March to 25
March 1999 with potential bidders who have purchased the tendering documents
to discuss bidder's request for clarification of the tendering documents,
including technical specifications, and contract issued raised by them in
accordance with Clause 6 of the Instruction to Bidders. As a result of
pre-tender conference, the Employer may introduce amendments to the
tendering Documents, which will be notified expeditiously to all prospective
bidders that have received the Tender Documents and will be binding on them.
